Terms of Service

The terms governing access to Binnovy’s public websites and, where no separate signed agreement applies, use of Binnovy digital services.

01Binnovy and acceptance

These Terms of Service ("Terms") are issued by BINNOVY BUSINESS INNOVATION TECHNOLOGY QFZ LLC, a limited liability company registered with the Qatar Free Zones Authority under Registration No. FZA 1075, with registered address Building 1, Street 504, Zone 49, Qatar Free Zones, Doha, State of Qatar. By accessing or using a Binnovy website or service that links to these Terms, you agree to them. If you act for an organization, you represent that you are authorized to bind that organization.

If a signed order form, master services agreement, subscription agreement, partner agreement, DPA, service-level agreement or other commercial agreement applies, that agreement governs the relevant service and prevails over these Terms to the extent of any conflict.

02Qatar Free Zone status and applicable framework

Binnovy is established in the Qatar Free Zones. Its incorporation, registration, management and licensed activities are subject to Law No. 34 of 2005 on Investment Free Zones, as amended, together with applicable Qatar Free Zones Authority regulations, including the Companies and Licensing Regulations in force from time to time. These Terms do not expand Binnovy’s licensed activities or override mandatory laws that apply to a transaction, user or customer.

03Permitted use of the website

You may use Binnovy’s public website for lawful informational and business purposes. You must not interfere with the website, bypass access or security controls, scrape or extract content at a scale that degrades the service, introduce malicious code, impersonate another person, or use the site in violation of law, these Terms or the Acceptable Use Policy.

04Accounts and credentials

Where a Binnovy service requires an account, you must provide accurate information, protect authentication credentials, use reasonable security measures and promptly notify Binnovy of suspected unauthorized access. You are responsible for activity performed through your account to the extent permitted by law, except activity caused by Binnovy’s breach of its own obligations.

05Services, orders and subscriptions

Service scope, fees, billing cycles, usage limits, service levels, renewal, cancellation, implementation responsibilities and other commercial terms are set out in the applicable order form or commercial agreement. Website descriptions are informational and do not create a service commitment unless incorporated into a binding agreement. Taxes, duties and government charges are handled as stated in the applicable agreement and mandatory law.

06Electronic contracting and communications

Where Binnovy offers contracting, ordering or acceptance electronically, the parties agree that electronic communications, records and signatures may be used to the extent permitted by applicable law, including Decree-Law No. 16 of 2010 Promulgating the Electronic Transactions and Commerce Law. Binnovy will make the service-provider identification, registration and contact information required by applicable law directly and continuously accessible through its website.

07Intellectual property

Binnovy and its licensors retain all rights, title and interest in the Binnovy websites, software, documentation, designs, databases, methodologies, trademarks, service marks and other intellectual property, including the Binnovy and AIIX names and marks. No license is granted except the limited right necessary to access and use the relevant website or service in accordance with these Terms and any applicable commercial agreement.

You may not copy, modify, reverse engineer, decompile, distribute, resell, sublicense or create derivative works from Binnovy technology except where expressly authorized or where a restriction is prohibited by mandatory law.

08Customer content and data

As between Binnovy and the customer, the customer retains its rights in content and data it provides to a service. The customer grants Binnovy only the rights necessary to host, process, transmit, secure and otherwise handle that content to provide the service and perform the agreement. The customer is responsible for ensuring that it has the rights, notices, permissions and lawful basis required for data it submits or instructs Binnovy to process.

09Artificial-intelligence functionality

Some Binnovy services may use artificial-intelligence or automated functionality. Unless a signed agreement expressly states otherwise, AI-generated or AI-assisted outputs are decision-support material and are not professional legal, medical, financial, safety-critical or regulatory advice. Customers remain responsible for appropriate human review, validation, permissions, lawful use and decisions made on the basis of such outputs. Binnovy may impose technical or policy controls to prevent unsafe, unlawful or out-of-scope uses.

10Third-party services

A Binnovy service may interoperate with third-party products, cloud infrastructure, data sources or applications. Third-party terms may apply to those products. Binnovy is responsible for its own contractual obligations but does not control independent third-party services unless the applicable commercial agreement expressly states otherwise.

11Acceptable use, sanctions and human-rights restrictions

Use of Binnovy services is subject to the Acceptable Use Policy and Code of Conduct. Binnovy may refuse, restrict, suspend or terminate access where reasonably necessary to address unlawful use, sanctions or counter-terrorism obligations, material security risk, grave human-rights concerns, abuse of the platform, non-payment, or a material breach of an agreement, subject to applicable law and contractual notice requirements.

12Suspension and termination

Where immediate action is required to prevent material harm, security compromise, unlawful activity or breach of mandatory legal obligations, Binnovy may act before giving notice and provide notice as soon as reasonably practicable where lawful. Termination of a paid service is otherwise governed by the applicable commercial agreement. Provisions that by their nature should survive termination — including intellectual property, confidentiality, accrued payment obligations, liability provisions and dispute clauses — remain effective.

13Disclaimers

The public website and general informational content are provided on an "as available" basis. To the maximum extent permitted by applicable law, Binnovy disclaims warranties that are not expressly stated in a binding agreement. Binnovy does not warrant that every website page will be uninterrupted or error-free. Service-specific warranties and service levels, if any, are those stated in the applicable commercial agreement.

14Limitation of liability

To the maximum extent permitted by applicable law, Binnovy is not liable under these website Terms for indirect, incidental, special, exemplary or consequential loss, or loss of profit, revenue, goodwill or data, arising solely from use of the public informational website. Liability relating to a paid platform or professional engagement is governed by the applicable commercial agreement. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including mandatory consumer rights where applicable.

15Consumer rights

Binnovy primarily supplies business and enterprise services. If you qualify as a consumer under a mandatory consumer-protection law, including Qatar Law No. 8 of 2008 on Consumer Protection where applicable, nothing in these Terms removes rights or remedies that the law does not permit you to waive. Required information about the service provider, pricing, material terms and commercial communications will be made available as required by law.

16Compliance with law

You must use Binnovy services in compliance with applicable laws and regulations, including privacy, cybersecurity, intellectual-property, sanctions, anti-money-laundering, counter-terrorism, export-control and sector-specific requirements that apply to you. You may not use Binnovy to facilitate conduct prohibited by the Code of Conduct or Acceptable Use Policy.

17Governing law and dispute resolution

Unless a signed commercial agreement validly provides otherwise, these Terms and any non-contractual obligations arising from them are governed by the laws of the State of Qatar together with the mandatory Qatar Free Zones legislation applicable to Binnovy. Subject to any valid agreement to arbitration or other alternative dispute resolution, civil and commercial disputes falling within the jurisdiction established for Qatar Free Zone entities are submitted to the competent Civil and Commercial Court at the Qatar International Court and Dispute Resolution Centre (QICDRC), to the extent that court has jurisdiction under applicable law. Mandatory jurisdiction or consumer-protection rules that cannot lawfully be displaced remain unaffected.

18Changes to these Terms

We may update these Terms for legal, regulatory, security, product or operational reasons. The "Last updated" date identifies the current public version. Where a change materially affects an existing contracted service, the notice and change-control provisions of the applicable commercial agreement apply.
